In the Matter of Argonne Corridor Improvement Project, know all men by these presents, that the
Grantor, T &D VENTURES, LLC a Washington Limited Liability Company, for and in consideration of
Ten Dollars ($10.00) and other valuable consideration, conveys and warrants to Grantee, CITY OF
SPOKANE VALLEY, municipal corporation of the State of Washington, its successors and assigns, a
perpetual exclusive easement over, under, upon and across the hereinafter described lands commonly
described as 2204 North Argonne, situated in Spokane County, State of Washington and legally described
as:
That Portion of Parcel B of SP -84 -316, recorded in Short Plat Book 3, page 21, records of
Spokane County, Washington:

Commencing at the Northwest corner of said Parcel B; thence 5.02 009'32 "E., along the West line
I of said Parcel B, 83.49 feet to the Point of Beginning; thence continue along said West line,

Purpose: The perpetual exclusive Easement granted to the CITY OF SPOKANE VALLEY, its
successors and assigns, is for the purpose of placement of a traffic signal pole and public sidewalk. It is
expressly understood and agreed that the obligations of the parties shall be for the benefit of and be
binding upon their respective successors, heirs, and assigns, including that the Grantee shall have the right
of ingress and egress to said Easement.
Indemnity:. Grantee agrees to indemnify and hold harmless Grantor, including Grantor's agents, guests
and employees, from any and all claims, known or unknown, now and in the future. This includes, but is

not limited to judgments, expert fees, and attorney fees for any and all damages suffered by Grantor
resulting from the Easement, herein, or any claims related thereto.
Reasonable Attorney Fees And Costs: Should any party breach this Easement or to enforce the
Easement in any lawsuit or arbitration, the prevailing party shall be entitled to recover reasonable attorney
fees, all costs, including but not limited to expert fees.
Reversion of Easement If Not Needed For Public Use: In the event Grantee does not use the property
described herein for the Purpose stated above, or in the future ceases to use the property described herein
for the Purpose stated above for more than one year, then this Easement shall revert to the Grantor.
The Easement described above is attached to and shall run with the land.
