TIIS FIRST.ANINDIVIENT modifies the MEMORANDUM OF UNDERSTANDING (MOU)
between. the City of Spokane'Vailey.(the City) and Zayo. Group, LLC (Zayo), executed on 7uly 1,
2013: The Ciiy and Zayo are sornetimes referred to indiYidually as a "Party" and collectively as
the ``Parties."
WHEREAS- pursuant to the 1VI(}1J, the: defined _responsibilities and allocated costs for
work related to hanger supports, drilling of pier cap diaphragms; and the relocation of Zayo
_
communication fiber optic lines as part of the Sullivan Road Bridge Drain Retrofit Project
(Retrofit Project);
WHEREAS, the :installation of ,additional conduit hanger supports and brackets under the
Northbound Sullivan Road .Bridge in areas, beyond the storriidiaiii .pipiiig •:system as part of the
Retrofit project will. expedite the future Sullivan Road West Brdge,Replaeemefit Project;
WHEREAS; the installation ofsuch additional conduit hanger supports and bracket's will benefit.
Zayo 'by providing a conduit support system all the way under the northbound bridge between.
the.abutments;
WHEREAS; the installation of:such additional conduit hanger supports and brackets will require- -a
- change in the responsibilities and costs to the Parties under the MOIJ::
NOW THEREFORE; the City and Zayo do hereby agree to amend the MOU as follows:
ARTICLE I _ RESPONSIB.ILTTIES. OF THE CITY
Article 1 — Responsibilities o_f the City is hereby amended to add the:, following responsibilities
for the City:
1,7 The City shall develop ijians and specifications for the 'installation of additional conduit
hanger supports and brackets; attadhed as Change Order One (CO 1) for the Retrofit Project.
L8 The City shall execute the.attached COI with_the Contractor of the. Retrofit Project.
1;9 Nothing herein shall. modify :the rights of the City to have full control over the Retrofit
Project construction contract and administration of the Retrofit Project, including the
construction required pursuant to COL
