13-180.00 Avista: Sullivan Bridge Drain Retrofit Conduit Hangers & Core HolesFIRST AMENDMENT TO THE MEMORANDUM OF UNDERSTANDING BETWEEN THE CITY OF SPOKANE VALLEY AND AVISTA CORPORATION FOR INSTALLING CONDUIT HANGERS AND DRILLING CORE HOLES AS PART OF THE CONSTRUCTION OF THE SULLIVAN ROAD BRIDGE DRAIN RETROFIT PROJECT, CIP 0150 THIS FIRST AMENDMENT modifies the MEMORANDUM OF UNDERSTANDING (MOU) between the City of Spokane Valley (the City) and Avista Corporation ( Avista), executed on July 1, 2013. The City and Avista are sometimes referred to individually as a "Party" and collectively as the "Parties." WHEREAS, pursuant to the MOU, the Parties defined responsibilities and allocated costs for work related to hanger supports, drilling of pier cap diaphragms, and the relocation of Avista overhead power cables as part of the Sullivan Road Bridge Drain Retrofit Project (Retrofit Project); WHEREAS, the installation of additional conduit hanger supports and brackets under the Northbound Sullivan Road Bridge in areas beyond the stormdrain piping system as part of the Retrofit Project will expedite the future Sullivan Road West Bridge Replacement Project; WHEREAS, the installation of such additional conduit hanger supports and brackets will benefit Avista by providing a conduit support system all the way under the northbound bridge between the abutments; WHEREAS, the installation of such additional conduit hanger supports and brackets will require a change in the responsibilities and costs to the Parties under the MOU. NOW THEREFORE, the City and Avista do hereby agree to amend the MOU as follows: ARTICLE 1— RESPONSIBILITIES OF THE CITY Article 1 — Responsibilities of the City is hereby amended to add the following responsibilities for the City: 1.7 The City shall develop plans and specifications for the installation of additional conduit hanger supports and brackets, attached as Change Order One (COI) for the Retrofit Project. 1.8 The City shall execute the attached COI with the Contractor of the Retrofit Project. 1.9 Nothing herein shall modify the rights of the City to have full control over the Retrofit Project construction contract and administration of the Retrofit Project, including the construction required pursuant to COI I. First Amendment - MOU Sullivan Road Bridge Drain Retrofit — Avista Corporation 2013 Page I of 2 1013 -1 DSO ARTICLE 2 — RESPONSIBILITIES OF AVISTA Section 2.2 of Article 2 — Responsibilities of Avista is hereby amended as follows: 2.2 Avista shall use the trapeze hanger support and brackets as installed pursuant to the attached COL ARTICLE 3 — ALLOCATION OF COSTS Article 3 — Allocation of Costs is hereby amended to add the following: 3.3 Avista shall, within 30 days of invoice from the City, compensate the City for one -half of the cost of C01; provided the amount to be compensated by Avista shall not exceed $10,000 without the prior written approval of Avista's representative.
